Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Obsidian Research Group (“Obsidian”, “we”, “us”) governing your access to and use of the Obsidian Lattice application (the “App”), the obsidianlattice.app website, and related services (together, the “Service”). By creating an account, installing, or using the App you agree to these Terms and to our Privacy Policy and End User License Agreement.
1. The Service
Obsidian Lattice is a local-first macOS application that indexes and searches files on your own Mac and connected drives, and can prepare and share file context with AI assistants you choose to connect. File contents and indexes are processed and stored on your device. Our servers handle only your account and subscription (see the Privacy Policy).
2. Accounts
To subscribe you must create an account with your name and a valid email address. You are responsible for keeping your credentials secure and for all activity under your account. You must be at least 18 years old and able to form a binding contract to use the Service.
3. Subscriptions, billing & trials
- Lattice Pro is offered on a subscription basis at $5/month or $50/year (USD), or as otherwise shown at checkout.
- New subscriptions may include a 14-day trial period. Cancel anytime. If you do not cancel before the trial period ends, your subscription begins and your payment method is charged.
- Subscriptions renew automatically until cancelled. You can cancel anytime from your account’s billing portal; access continues until the end of the paid period.
- Payments are processed by Stripe. We do not store your full card details.
- We offer a 30-day money-back guarantee on first purchases. Otherwise, fees are non-refundable except where required by law.
4. Device limit & licensing
A single subscription may be activated on a limited number of Macs (currently two). Activation is bound to each device; we may revalidate your subscription periodically when your Mac is online. You may deauthorize a device from your account at any time. Circumventing these limits or the App’s licensing is a breach of these Terms.
5. Acceptable use
You agree not to: (a) copy, modify, reverse engineer, or resell the Service except as permitted by the EULA or applicable law; (b) use the Service to break the law or infringe others’ rights; or (c) interfere with the integrity or security of the Service.
6. Your content
You retain all rights to your files. Because file processing is on-device, we do not access, upload, or claim any rights to your content. You are solely responsible for your files and for what you choose to share with third-party AI assistants you connect.
7. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted or error-free. Nothing in these Terms limits rights you have under the Australian Consumer Law or other non-excludable consumer protections.
8. Limitation of liability
To the maximum extent permitted by law, Obsidian will not be liable for indirect, incidental, or consequential damages, or for loss of data, profits, or goodwill. Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim.
9. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate access if you breach these Terms. On termination, your right to use the App ends, but your files and on-device index remain on your Mac.
10. Changes
We may update these Terms from time to time. Material changes will be notified through the App or by email. Continued use after changes take effect constitutes acceptance.
11. Governing law
These Terms are governed by the laws of Australia. Disputes are subject to the non-exclusive jurisdiction of the courts of Australia.
